TERMS & CONDITIONS
Responsible Parties
Within these contract terms the parties will be referred to as Firm and Client. “AmeriWeb LLC” hereinafter referred to as “Firm”, will be providing the services and collecting money from Client. The website purchaser (the business for the new website) hereinafter referred to as “Client”, will be receiving the services and making payment to the Firm. If any provision of this Agreement is deemed illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. The waiver of a breach hereunder does not waive any other or subsequent breach.
This contract and any Addendums attached thereto constitute the sole agreement between the Firm and the Client regarding this project. It becomes effective only when signed or otherwise agreed upon by the Client and Firm. It is the spirit of this agreement that this will be a mutually beneficial arrangement between the Firm and the Client.
Services Provided
Firm agrees to provide Client all of the services described in this proposal and on any additional addendum referenced, hereinafter referred to as “Services.” The services will be applied to the Client’s website. The discussed services include the following:
AmeriWeb LLC Website – $450 + Add-Ons (if desired)
- WordPress website – will design pages based on client design preferences
- 4 pages included (content writing must be provided by client)
- 4 Content Sections on Home Page (excluding Header and Footer Sections)
- 3 Content Sections on other 3 pages (excluding Header and Footer Sections)
- Header with background image on each page
- 3 custom sliders on Home page
- 1 design revision
- Standard Website Management for only $35/month
- 1 additional page for Privacy Policy included
Add-On Services (optional)
- Additional pages: $35 per page
- Content writing: $35 per 500 words
- Custom sliders on Home page: $15 per slider
- Logo design: $65 per logo
- Email addresses: $5 per month per email address
- Set-up social media pages: $10 per social media page (Facebook, Twitter, LinkedIn, and/or YouTube)
- Business card design: $25 per design
- Letterhead design: $20 per design
- Photo finding & editing (for special requests that exceed retrieving simple stock photos): $8 per photo
Standard Website Management (required) – $35 per month
- Website hosting
- 3 email addresses with a matching domain name (e.g., john@johnsplumbing.com)
- Adding and updating content provided to AmeriWeb LLC
- 2 small updates or 1 large update per month
- Domain name registration and annual renewal** (available domain names only; excluding “Premium” domain names)
Silver Website Management (upgrade) – $60 per month
- Website hosting
- 5 email addresses with a matching domain name (e.g., john@johnsplumbing.com)
- Adding and updating content provided to AmeriWeb LLC
- 5 small updates or 2 large updates each month
- Domain name registration and annual renewal** (available domain names only; excluding “Premium” domain names)
Premium Website Management (upgrade) – $95 per month
- Website hosting
- 8 email addresses with a matching domain name (e.g., john@johnsplumbing.com)
- Adding and updating content provided to AmeriWeb LLC
- 12 small updates or 4 large updates each month
- Domain name registration and annual renewal** (available domain names only; excluding “Premium” domain names)
Each Email Address Includes:
- Email address matching your domain name (e.g., john@johnsplumbing.com)
- The ability to forward your emails to another inbox
- Webmail email software (very simple and easy to use)
- 2 GB of storage
- POP / IMAP (giving you the ability to configure your email inbox with Windows Outlook, Windows Live Mail, MacOS Mail.app, Postbox, Mozilla Thunderbird, and KDE Kmail)
- Email accessibility through your smartphone (iPhone, Android, and Blackberry)
What One Page Includes:
- Home page: 4 content sections and 3 sliders (see ManufacturingAccess.com for an example)
- Contact page: as shown at ameriwebllc.com/contact-us (company contact information, business hours, contact form, Google map)
- Blog page: up to 12 blogs (assuming that blog content, titles, and photos are provided by the client) (see example at ameriwebllc.com/blog)
- Other pages: 3 content sections and small header (see ameriwebllc.com/design-options for “Content Section Examples”)
All content must be provided by the client, unless add-on services are purchased.
Project Timeline
Information Collection – 1 to 2 weeks
During the first week or two, we will collect the necessary information to begin the site, including, but not limited to, admin access for domain name and hosting accounts, website copy, images, customer testimonials, color scheme selections, and a high definition company logo.
Development – 1 to 3 weeks
Once Information is collected, we will head into development. After completion, we will proceed into receiving approvals from the client. Once the website design is approved, we will test for proper functionality.
Estimated Project Time: 2 to 5 weeks
Fees and Billing Procedure
Prices are quoted in U.S. funds, unless specified otherwise. A $225 deposit is due upon approval of this agreement unless otherwise agreed upon. Ongoing work-in-progress fees (i.e., updates that were not included in the quote) will be billed at the end of each monthly period during the course of the project. In the event of project cancellation, fees incurred to date will be billed. Late payments may incur a late fee. Invoices are due upon receipt.
Except for monthly management payments, all payments will be made by check or PayPros Merchant Services (invoiced electronically). It is imperative that Clients stay on track and communicate with AmeriWeb LLC. Clients must be aware that any delays on their side may constitute a late fee. If you need to put a project on hold, please notify us immediately so we can make the appropriate accommodations. If, at any time, a Client is non-responsive for one month, the project will be considered complete and Client will be invoiced for the work completed.
The Standard Website Management Package at $35/month is a requirement to keep the site live. Clients will be billed monthly by a credit card held on file in our secure PayPros RecurPay system. Once entered directly into RecurPay, AmeriWeb LLC staff cannot view or obtain credit card numbers.
Revisions and Updates
Website development packages include one design revision, if not specified differently. Logos and other graphic design projects include one revision during development. Any changes to the Specifications, Scope, Design, Development or anything that was not clearly mentioned before the project starts is outside the scope of this project, and may constitute a “Change Order.”
The development period ends on the final website approval date and any additional changes will be considered updates. Excluding what’s defined in the selected Monthly Website Management package, additional revisions will be billed at the “add-ons” rates above. For other tasks, the hourly rate is $30, except for $65 for advanced coding tasks.
Domain Name Ownership
If Firm purchases the domain name for a Client’s website, Firm is the sole owner of the domain name until Client requests to purchase and transfer the domain name from Firm, at which time, Firm has the option to sell the domain name, at fair market value plus the cost to transfer (if any), to Client. Clients have the option to purchase the domain name on their own before Firm makes the purchase, if desired. The Website Management Package fee remains the same, no matter which party purchases and owns the domain name.
Client Deliverables
All Client-supplied website content (text, images, data, video, etc.) will be provided to AmeriWeb LLC in digital format and in a timely manner, unless otherwise agreed upon.
Warranty
AmeriWeb LLC will warranty all work for a period of 30 days after project completion (i.e., site launch). The warranty fulfillment is specific to bug fixes or programming errors only and is separate and distinct from maintenance fees. AmeriWeb LLC is not responsible for bugs caused by a third-party coder or by third-party plug-ins; only for faults of our own.
Agreement
This proposal may be accepted by verbal or written approval of the quote (e.g., by email) or by transferring part or the entire amount of the quoted charge.
